TERMS AND CONDITIONS OF TICKET PURCHASE & SALE
WeBuyTickets (“WeBuyTickets”, “we”, “us”, “our”) is a trading name of Aceify Ltd, a company registered in England and Wales under company number 09916879, with registered offices at 405 Kings Road, London, England, SW10 0BB, United Kingdom. We operate an online marketplace where you can buy event tickets from us, and sell event tickets to us for us to resell. These are referred to as “Tickets” throughout these Terms and Conditions.
These Terms and Conditions set out the applicable legal terms for purchases of Tickets from us and sale of tickets to us.
We sell Tickets for events operated by third parties (referred to as “Event Organisers”). We are not responsible for providing the events themselves, and we do not guarantee that we will always be able to sell or purchase tickets for any specific event. Any seating maps displayed on WeBuyTickets are for guidance only and may be subject to change.
Nothing in these Terms and Conditions affects your statutory rights as a consumer.
- USING WEBUYTICKETS
- In order to use WeBuyTickets to buy or sell a Ticket you must be at least 18 years old and you must provide us with all information requested at the point of sale or purchase. You must not give us false personal information, contact information, or payment details.
- You are responsible for maintaining the security of your WeBuyTickets account. You must not let anybody else access your WeBuyTickets account. If you become aware that anyone has access to your account without permission, you must immediately contact us.
- You must not use WeBuyTickets for any unlawful purpose or in any unlawful manner. If we discover or suspect that you have used or are using or attempting to use WeBuyTickets in breach of these Terms and Conditions or in any unlawful manner, we may suspend access to your account and report you to the relevant authorities (and any relevant Event Organiser).
- We reserve the right to terminate your account and/or cancel any of your orders and/or prohibit you from making future orders or using WeBuyTickets in future if:
- any abusive or threatening behaviour is carried out by you or on your behalf or via your account;
- we suspect any fraudulent activity or other illegal activity is carried out by you or on your behalf or via your account;
- we suspect any unauthorised use of your account or other unauthorised activity is carried out by you or on your behalf or via your account;
- we are ordered to do so by any legal or regulatory authority; and/or
- you otherwise breach these Terms and Conditions or any terms applicable in place with any Event Organiser relevant to any Ticket you have purchased or sold.
- Termination of your account and/or cancellations of any Ticket sales and purchases shall not affect our or your rights and liabilities which have accrued prior to and including the date of such termination or cancellation.
- Any purchase from us or sale to us of Tickets forms a legally binding contract that is subject to these Terms and Conditions, any advertised terms and conditions of the Event Organisers and/or event, and any venue terms and conditions (including conditions of entry).
- We may occasionally update these Terms and Conditions by posting an updated version on our website. All Ticket transactions are subject to the applicable version of these Terms and Conditions posted on our website as of the date of the transaction.
- TICKET TRANSACTIONS
- Prices of Tickets advertised for sale and purchase may change from time to time. We do not guarantee that an advertised sale or purchase price for a Ticket for a given event will remain the same. You will not be entitled to a refund or credit if the sale or purchase price for another Ticket for the same event changes after you have completed a transaction.
- If a sale or purchase price for a given Ticket is advertised in a currency which is different to your credit or debit card provider, we accept no responsibility or liability for additional currency-related charges you may be subject to, or any currency exchange rate fluctuations, which are entirely at your risk.
- All purchases are subject to credit or debit card verification (if applicable), other security checks, and collection of payment by us. Your order may be cancelled if it has not passed our verification process or if payment is not received in full. We accept no responsibility or liability for any cancellations imposed by a payment processing provider, as these are outside our control.
- You must not use any robot, spider or other automated device or software, or unauthorised framing or linking to any website, or any other illegal or unauthorised activity in connection with the WeBuyTickets platform. We reserve the right to cancel or void any transactions that we reasonably suspect to have been made in breach of these Terms and Conditions, without any notice to you.
- SALE OF TICKETS TO WEBUYTICKETS
- We do not guarantee that we will purchase any Ticket you may wish to sell to us. You will only be able to sell Tickets to us if they are for events that we wish to purchase Tickets for, and if they are a type of Ticket that will permit us to resell them to other WeBuyTickets users.
- You shall permit us to carry out any checks that we may reasonably require to verify that the Tickets you wish to sell to us are genuine and that they are capable of being sold to us for re-sale to other WeBuyTickets users.
- We retain sole discretion of the price for which we will purchase Tickets from you. You are not obliged to sell us any Tickets if you do not agree with the price offered to you.
- If you enter into a transaction to sell Tickets to us, you warrant and undertake that you have all necessary rights to offer those Tickets to sale to us.
- You must ensure that, if you are selling us multiple Tickets for one event, the Tickets are listed together and are seated together, which means that the seats must be consecutively numbered and adjacent to each other.
- You must not offer for sale the same Tickets being sold to us on any other ticket resale or exchange platform concurrently.
- If we agree to purchase any Tickets from you, you must follow all instructions that we provide to you in relation to the steps required to transfer the Tickets to us. The contract for purchase of the Tickets from you (and our obligation to remit the agreed payment to you) will only take effect once we are reasonably satisfied that all necessary steps have been taken to transfer the Tickets to us. If you are required to send any physical Tickets to us, you are responsible for ensuring that the Tickets reach us at your own cost and within the timeframe specified. We reserve the right to cancel any purchase of Tickets from you if you do not take the steps required within the timeframe specified.
- DELIVERY OF PURCHASED TICKETS TO YOU
- We aim to send out Tickets that you have purchased as soon as possible, but we are not liable for delays caused by postage, courier and other delivery services. Please allow as much time as possible for your Tickets to arrive, and note that a signature may be required upon delivery.
- For electronic Tickets, you must ensure that you download them to your device in advance of the event. Please note that some Tickets and events do not allow transfer of Tickets to different devices and require all attendees to enter the venue together.
- We shall not be liable for, and you will not be entitled to any refund where delivery is refused, returned, missed, unclaimed or fails as a result of your failure to provide correct and complete delivery information and/or failure to ensure you are available to receive delivery of Tickets (whether physically or via email, as applicable) or your failure to download Tickets from your WeBuyTickets account, as applicable.
- Regardless of the method of delivery you select at purchase, we reserve the right to make Tickets available for collection by you at the venue box office or at another designated ticket collection point. We will notify you by telephone or email of the arrangements for collection if this becomes necessary. You may be required to provide your booking confirmation email and your photo ID to collect Tickets, as well as the credit or debit card used to make the order.
- TRANSFERS OF PURCHASED TICKETS
- We do not guarantee that any Tickets purchased from us may be transferrable to third parties. You may not resell or transfer your Tickets if prohibited by law. In addition, Event Organisers may restrict or prohibit the resale or transfer of Tickets for some events. Any resale or transfer (or attempted resale or transfer) of a ticket in breach of the applicable law or any restrictions or prohibition imposed by an Event Organiser is grounds for seizure or cancellation of that Ticket.
- If Ticket(s) purchased by you from us includes the right and ability to transfer some or all of the Tickets to third parties, you remain responsible for the compliance by those third parties with these Terms and Conditions and any other terms and conditions associated with those Tickets.
- If an event is cancelled, rescheduled or materially altered, only the original purchaser of a transferred Ticket will be entitled to any refund or credit available. We will only deal with the original purchaser of a transferred Ticket in respect of all matters relating to the Ticket and the event for which it is issued. It is the responsibility of the original purchaser of a Ticket to keep all the recipients of any transferred Tickets updated with any information we provide to the original purchaser.
- To the maximum extent permitted by law, any liability we may have in connection with a Ticket will only be owed to the original purchaser of the Ticket, and not to any recipient to whom that Ticket may have been transferred.
- USE OF PURCHASED TICKETS
- Tickets purchased from us remain the property of the relevant Event Organiser. Admission may be refused at the discretion of the Event Organiser.
- We are not responsible for any Tickets that are lost, stolen, damaged or destroyed following receipt or collection by you. You acknowledge that lost, stolen, damaged or destroyed Tickets may not be able to be replaced where policies set by an Event Organiser prohibit us from issuing replacement Tickets. If we are able to issue replacement Tickets, we may charge you a reasonable administration fee.
- Where your Tickets are for allocated seats, you have a right only to the seats stated on the Ticket. We or the relevant Event Organiser or venue reserve the right (whether before or during the event) to provide alternative seats to those initially allocated to you or specified on the Tickets.
- Tickets may be sold subject to certain restrictions on entry or use, such as restricted, obstructed or side view or a minimum age for entry. Any such restrictions will be displayed or otherwise notified to you before or at the time of booking. It is your responsibility to ensure that you read all notifications and other important information displayed or notified to you as part of the purchase process. We will not be responsible if you or any guests under your booking are refused admission because of a failure to meet or prove that you/they meet any restrictions (e.g. a minimum age requirement).
- AT THE VENUE
- Advertised start times of events are subject to change. The Event Organiser has the right to alter or vary the programme of an event due to events or circumstances beyond its reasonable control without being obliged to refund monies or exchange tickets.
- Admission is entirely at the discretion of the Event Organiser and the event venue, and cannot be guaranteed if you are late arriving at the event.
- Admission to all events is subject to the terms of admission of the relevant venue, and certain items may be prohibited. The venue may require security checks before admission is allowed. The unauthorised use of photographic and/or recording equipment at events may be prohibited.
- By attending an event, you and your guests acknowledge that you may be photographed, filmed and/or recorded in relation to the event.
- EVENT CANCELLATIONS AND ALTERATIONS
- If an event is cancelled, rescheduled or materially altered, we will try to notify you once we have received the relevant information and authorisation from the Event Organiser (if you book online, we will use your account details). However, we cannot guarantee that you will be informed of such cancellation, rescheduling or alteration before the date of the event.
- If an event is cancelled, rescheduled, or materially altered, your rights to a refund or to a rescheduled ticket will be subject to the discretion of the Event Organiser. We will endeavour to support you with any refunds or rescheduled Tickets in relation to re-sale Tickets purchased from us.
- WARRANTIES AND INDEMNITIES
- You represent and warrant that the information that you submit to us in relation to your account and in your use of WeBuyTickets is true, accurate and complete and you will not give us any false information. You further warrant and represent that you are at least 18 years old (or the age of legal capacity in the country of purchase) and can enter into legally binding contracts for the sale and purchase of Tickets.
- You represent and warrant that in using WeBuyTickets, you shall comply with all applicable laws and regulations, along with these Terms and Conditions and any other applicable terms and conditions.
- You hereby indemnify and hold harmless us and our affiliates along with their respective officers, directors, employees and agents (the “Indemnified Parties”) against any losses, damages, expenses (including reasonable legal fees), liabilities, claims and/or demands suffered by any Indemnified Parties arising out of or in connection with your breach of these Terms and Conditions or any other applicable terms and conditions, breach of any applicable laws or regulations, or breach of any third party rights.
- LIMITATION OF LIABILITY
- To the maximum extent permitted by law, we (including our affiliates, parent undertakings, subsidiaries, and their respective officers, directors, employees, agents, legal representatives and sub-contractors) and the relevant Event Organisers shall not be liable for any loss, injury or damage to any person (including you) or property howsoever caused (including by us and/or by the Event Organiser): (a) in any circumstances where there is no breach of contract or a legal duty of care owed by us or the relevant Event Organiser; (b) in circumstances where such loss or damage is not directly as a result of any such breach (save for death or personal injury resulting from our or an Event Organiser’s negligence); or (c) to the extent that any increase in any loss or damage results from your negligence or breach by you of any of the terms of these Terms and Conditions and/or any other applicable terms and conditions and/or any applicable laws or regulations.
- To the maximum extent permitted by law, we (including our affiliates, parent undertakings, subsidiaries, and their respective officers, directors, employees, agents, legal representatives and sub-contractors) and the relevant Event Organisers, shall not be liable for any indirect or consequential losses or loss of data, profits, revenue, earnings, goodwill, reputation, enjoyment or opportunity, or for distress, or any exemplary, special or punitive damages, arising directly or indirectly from your use of WeBuyTickets.
- We are not liable to you under any circumstances for travel, accommodation, hospitality and other costs and expenses arranged and incurred by you relating to an event.
- Unless otherwise stated in these Terms and Conditions, our and any relevant Event Organiser’s liability to you in connection with an event (including, but not limited to, for any cancellation, rescheduling or alteration of an event) and any Tickets you have purchased or sold shall be limited to the total transaction value corresponding to such Tickets.
- We are not responsible for the actions or failures of any venue or Event Organiser. Under no circumstances shall we be liable for death or personal injury suffered by you or your guests arising out of attendance at an event, unless caused by our negligence. Neither shall we be liable for any loss or damage sustained to your property or belongings, or those of any guests under your booking, attending an event.
- We will not be liable to you for failure to perform any of our obligations under these Terms and Conditions to the extent that the failure is caused by a force majeure event (meaning any cause beyond our reasonable control including without limitation, acts of God, war, insurrection, riot, civil disturbances, acts of terrorism, fire, explosion, flood, theft of essential equipment, malicious damage, strike, lock out, weather, third party injunction, national defence requirements, acts or regulations of national or local governments). This clause does not affect the terms of any clauses specifically providing for a right of refund.
- Nothing in these Terms and Conditions seeks to exclude or limit our or any Event Organiser’s liability for death or personal injury caused by our or any Event Organiser’s negligence, fraud or other type of liability which cannot by law be excluded or limited.
- GENERAL
- If we delay or fail to enforce any of the provisions of these Terms and Conditions, it shall not mean that we have waived our right to do so.
- We shall be entitled to assign our rights and obligations under these Terms and Conditions provided that your rights are not adversely affected.
- If any provision of these Terms and Conditions is found by a competent court to be invalid or unenforceable, that provision shall be deemed to be omitted from these Terms and Conditions and this shall not prevent the other provisions from continuing to remain in full force and operate separately.
- If any provision of these Terms and Conditions is or becomes illegal, invalid or unenforceable pursuant to the law of any applicable jurisdiction, this shall not affect or impair the legality, validity or enforceability in that jurisdiction of any other provision of these Terms and Conditions.
- Any of our and the Event Organisers’ affiliates, successors, or assigns may enforce these terms in accordance with the provisions of the Contracts (Rights of Third Parties) Act 1999. Except as provided in the previous sentence, these Terms and Conditions does not create any right enforceable by any person who is not a party to it but does not affect any right or remedy that a third party has which exists or is available apart from the Contracts (Rights of Third Parties) Act 1999.
- Nothing contained within these Terms and Conditions and no action taken by you or us pursuant to these Terms and Conditions shall create, or be deemed to create, a partnership, joint venture, or establish a relationship of principal and agent.
- Any notice provided under these Terms and Conditions shall be delivered upon receipt and shall be deemed to have been received at the time of delivery (if delivered by hand, registered post or courier) or at the time of transmission (if delivered by email).
- These Terms and Conditions shall be governed by and construed in all respects in accordance with English law and both you and we agree to submit to the non-exclusive jurisdiction of the English courts in relation to any dispute arising out of or in connection with these Terms and Conditions.
